Understanding the Ken AI Service Agreement

Everything you need to know about our service agreement template and what to expect during signing

What is the Service Agreement?

For your protection and ours, we use a detailed service agreement that outlines exactly what services we'll provide, all associated costs and fees, and the terms of our partnership. This ensures complete transparency and protects both parties throughout our engagement.

You'll receive this agreement via email and sign it electronically using Dropbox Sign (aka HelloSign) — it's quick, secure, and legally binding.


Key Sections Explained

While most of the agreement is straightforward, here are the sections that often require clarification:

1. Scope of Services (Section 1)

This section will be customized with the specific number of contacts we'll target each month for your campaign. The key details include:

  • Monthly contact volume — the number of unique valid email contacts we'll reach each month

  • Email sequence — each contact receives up to 5 emails over a 3-week period

  • Fresh contacts monthly — at the end of each month, we swap out the previous contacts for a fresh batch

2. Client Responsibilities (Section 5)

There are a few things you'll need to provide or set up:

Email Domains:

  • We'll purchase email domains specifically for your campaign (typically the number will be specified in your agreement)

  • You'll reimburse us at a fixed cost of $15 per domain per year

  • We manage these domains entirely — you don't need to do anything technical

  • If you ever end the engagement, we can transfer these domains to you (though this isn't always technically possible)

Email Sequencer Account:

  • You'll need to create and pay for an Instantly.ai account (or another approved email sequencer)

  • You'll give us access to this platform so we can manage your campaign

  • This is separate from our service fee and paid directly to Instantly.ai

3. Pricing & Performance Fees (Section 8)

Your monthly invoice includes:

  • Monthly service fee — covers campaign management, AI personalization, email outreach, and contact management

  • Performance fee — you only pay this when we generate qualified results for you

Performance fees are customized to your business model. Depending on what we agree during our sales conversation, your performance fee might be based on:

  • Meetings booked (most common)

  • Clicks on links in your emails

  • Free trials started (for SaaS companies)

  • Actual customers acquired

  • Other qualified results specific to your goals

The exact result type and what qualifies as a "qualified result" will be defined during our sales process and clearly specified in your agreement.

Tracking mechanisms:

For meetings booked, we'll need access to your calendar system or CRM to verify which meetings came from our campaigns. We only use this access to track performance — all your data remains confidential. A meeting is attributed to our campaign when the attendee was previously contacted through our email sequences. No-shows don't count — if they don't attend, you don't pay the performance fee.

For other performance metrics (clicks, free trials, customers, etc.), the tracking mechanism will be specified in your individual agreement based on your setup. If you have questions about how we'll track your specific results, just ask us during the sales process or before signing.

4. Termination Terms (Section 9.3)

If either party decides to end the agreement:

  • You must provide 14 days' written notice

  • You'll pay for services rendered up to the termination date

  • Important: You'll continue to pay performance fees for results that come from our campaigns for 90 days after termination — this is because our outreach often generates results weeks after initial contact

5. Confidentiality & Marketing Rights (Section 11.5)

Here's what the NDA covers:

What we CAN do:

  • Share that we work with you

  • Use your company name and logo on our sales materials and website

  • Discuss your basic results privately (like open rates or click counts) in one-on-one business conversations

What we CANNOT do:

  • Share your campaign details, strategies, or specific results publicly without your written permission

  • Use your results as public testimonials or case studies without approval for each specific instance

This protects your competitive advantage while allowing us to showcase our client roster.
